Two weeks ago I wrote about a type of Securities and Exchange Commission (SEC) filing, namely the Form 4 used for informing the SEC (and, in turn, investors) of insider transactions in their company’s stock. I intended to write about SEC Form 8-Ks a week ago, but instead decided to present a brief video where I could thank you for your support of my “Choose Stocks Wisely” effort in a more personal way than via the written word. I do wish to say thank you once again today via this written post for all your support.
Now, let’s consider the SEC Form 8-K. The SEC requires all companies under its jurisdiction to file an 8-K anytime a major event occurs with the company. The list of what constitutes major events is quite long. Rather than detail that list here, let me direct you to the SEC website page dealing with 8-K reporting. There is a lot of great information on this page relative to material event filing, including the deadline requirements for filing once the major event has occurred.
I’ve mentioned the nasdaq website several times here. It is a great site to use regularly if you invest in individual stocks. You can easily monitor your stocks for SEC reporting activity by simply going to the site and inputting a stock symbol to locate that company’s page, followed by choosing the “SEC Filings” link along the left side of the company page.
